1. Acceptance of Terms

By accessing or using Ivy ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Ivy provides an AI-powered assistant that integrates with WhatsApp. The Service allows you to interact with an AI assistant through your WhatsApp account for task management, reminders, and information retrieval.

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be at least 13 years of age
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Send spam, bulk messages, or unsolicited communications
• Harass, abuse, or harm another person
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated scripts to collect information
• Impersonate any person or entity
• Violate WhatsApp's Terms of Service

5. Subscription and Payments

Billing

Paid subscriptions are billed in advance on a monthly basis. You authorize us to charge your payment method for the applicable subscription fees.

Plan Limits

Each plan includes specific limits on instances and monthly messages. Exceeding these limits may result in service restrictions until your billing cycle resets or you upgrade your plan.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

Price Changes

We reserve the right to modify pricing with 30 days notice. Continued use after price changes constitutes acceptance of the new pricing.

6. WhatsApp Integration

The Service integrates with WhatsApp through your personal WhatsApp account. You acknowledge that:

• You must have a valid WhatsApp account
• You are responsible for compliance with WhatsApp's Terms of Service
• WhatsApp may terminate or restrict your access at any time
• We are not responsible for WhatsApp service interruptions
• Your WhatsApp session may need to be reconnected periodically

7. AI-Generated Content

The AI assistant generates responses based on your inputs. You understand that:

• AI responses may not always be accurate or complete
• You should verify important information independently
• The AI does not provide professional advice (legal, medical, financial)
• You are responsible for how you use AI-generated content

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Ivy and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you provide through the Service. By using the Service, you grant us a limited license to process your content as necessary to provide the Service.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

• Perform maintenance with or without notice
• Modify, suspend, or discontinue features
• Limit usage during high-demand periods

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOLTCLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and data
• Sections that by their nature should survive will survive termination

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page. Your continued use of the Service after changes constitutes acceptance of the new Terms.
